End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you and Lunana Global Inc. ("LiveLingo", "we", "us") for the use of the LiveLingo application and related services (collectively, the "Application"). The Application provides four feature paths: live translation (with optional shared sessions by room code), photo translation, sign mode, and translated phone calls (PSTN, outbound only as of the date of this EULA). By installing, accessing, or using the Application, you agree to be bound by this EULA, our Terms of Service, our Privacy Policy, and our Acceptable Use Policy.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application on devices that you own or control, in accordance with the usage rules set forth in the Apple Media Services Terms of Service or the Google Play Terms of Service (as applicable). This license does not allow you to use the Application on any device that you do not own or control, and you may not distribute or make the Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, or sublicense the Application.

3. Voice Recording and Audio Data

The Application records, transmits, and processes audio from your device's microphone to provide real-time speech recognition and translation. By using the Application, you acknowledge and consent to the following:

  • Your voice audio is streamed to our servers and to our speech-recognition and call-routing providers for real-time processing. For translated phone calls, audio also transits Twilio (Programmable Voice and Media Streams). Audio is processed transiently and is not stored after the session or call ends.
  • Transcripts and translations generated from your speech are stored in your account so you can review them later.
  • In translated phone calls, the recipient hears, at the start of the call, a brief automated announcement in their language identifying you by name and informing them that the call is being translated. The recipient hears a synthesized translation voice speaking the translation in turn, rather than your voice rendered in the target language. The announcement is informational only. You are solely responsible for informing and obtaining any consent required from all parties whose speech is being recorded and translated, in compliance with applicable local laws (including two-party-consent jurisdictions, GDPR, BIPA, and analogous statutes).   • Your audio data is not used to train or improve AI models. It is processed solely to deliver the Service.

4. AI Translation Disclaimer

The Application uses artificial intelligence and machine learning to provide speech recognition, translation, optical character recognition, and synthesized speech. You acknowledge that:

  • AI-generated outputs may be inaccurate, incomplete, false, biased, or inappropriate. Translations are not guaranteed to be accurate, complete, or reliable.
  • Outputs may be similar across users; AI models can produce similar outputs for similar inputs.
  • You must review the accuracy and appropriateness of any AI output before relying on it.
  • The Application must not be used as a substitute for a qualified human translator or interpreter in any consequential context, including without limitation medical (allergy disclosure, dosage, diagnosis, triage, informed consent, mental health), legal (testimony, contractual offer or acceptance, immigration, depositions), financial (loan, tax, securities), or safety-critical (emergency services, aviation, nuclear, hazardous materials) communications. Healthcare providers serving Limited English Proficient patients are reminded that Section 1557 of the Affordable Care Act and analogous state laws require "qualified" interpreters; the Application is not a qualified medical interpreter. Federal court proceedings require interpreters certified under the Court Interpreters Act (28 U.S.C. §1827).
  • You are prohibited from using the Application to call emergency services or any equivalent number (911, 112, 999, 110, 119, 000, and analogous numbers in any jurisdiction). Emergency numbers are also blocked at the dialer.
  • You assume all risk from relying on translations provided by the Application.
  • We do not use your audio, transcripts, translations, photos, or AI outputs to train AI models.

5. Photo Translation

The photo-translation feature captures or accepts an image you provide, uploads it to our servers, and returns translated text overlaid in place. The Application uses Google Gemini for combined OCR and translation, and falls back to Google Vision (OCR) combined with a fallback translation engine when Gemini is unavailable.

  • No server-side image retention. Uploaded images are processed transiently and are not retained on our servers. Detected text and translations are stored only on your device.
  • User prohibitions. You may not upload:
    • Images of identifiable persons, including faces, without their consent;
    • Government-issued identification documents (passports, driver's licenses, national IDs) of any person other than yourself, except where lawfully required;
    • Medical records, prescriptions, lab results, or other health information of any person other than yourself;
    • Protected Health Information (PHI) for which the Application would need to be a HIPAA Business Associate (we are not, and do not, provide a HIPAA Business Associate Agreement under this EULA);
    • Copyrighted material that you do not own or have a license to translate;
    • Content prohibited by our Acceptable Use Policy.
  • No facial recognition. The Application does not perform facial recognition, identity matching, or biometric matching of any kind.
  • Auto-context classification. To improve translation quality, the Application may automatically classify a photo's context (e.g., menu, sign, document, card, label, bank, pharmacy, legal, or general). This classification is based on the photo's content and is used solely to choose translation vocabulary; no facial or identity processing is performed.

6. Sign / Show Mode

Sign mode (also called "show mode") is a one-way translation broadcast: you compose or pre-translate a message, and the Application displays it in large text and may speak it via on-device text-to-speech (Apple AVSpeechSynthesizer on iOS). Sign mode does not capture audio from any third party. Saved signs are stored only on your device.

7. Translated Phone Calls (PSTN)

The translated phone-call feature places a regular outbound telephone call to a number you dial, with translation performed in both directions. The complete rules for translated phone calls, including user warranties and prohibitions, are set out in Section 9 of our Terms of Service. Highlights:

  • You acknowledge that the recipient hears AI-synthesized speech (text-to-speech output of the translation), not your voice. The Federal Communications Commission's February 8, 2024 Declaratory Ruling treats AI-generated voices as "artificial" for purposes of the Telephone Consumer Protection Act (47 U.S.C. §227); compliance is your responsibility.
  • At the start of every outbound translated phone call, the recipient hears a brief automated announcement in their language identifying you (the caller) by name and informing them that the call is being translated. The recipient hears a synthesized translation voice speaking the translation in turn, rather than your voice rendered in the target language. The announcement is informational only and does not by itself document recipient consent.
  • The recipient sees a Twilio-assigned phone number on their caller ID, not your personal number.
  • You may not use the Application for telemarketing, surveys, political advocacy, debt collection, market research, lead generation, robocalling, or any unsolicited commercial outreach to non-consenting parties.
  • You may not call any phone number located in a country or region subject to U.S. sanctions, any party listed on the U.S. Treasury's SDN list or any equivalent restricted-parties list, or any number from which the called party has previously asked you to stop calling.
  • You may not use the Application to call emergency services, to evade a restraining order or no-contact order, to harass or intimidate any person, or to make false emergency reports.
  • The Application is provided without any service-level commitment. Calls may fail, drop, or be of low quality. We do not issue refunds or credits for failed, dropped, low-quality, or mistranslated calls. Voicemail or answering-machine pickup is treated as call termination.
  • We reserve the right to limit per-user, per-day, or per-number call rates; block calls to specific destinations; and suspend accounts exhibiting calling patterns suggestive of robocalling, telemarketing, fraud, or harassment.

8. Subscription and Billing

  • The Application is offered on two paid subscription tiers:
    • Pro — $19.99 per month or $99.99 per year. Includes live translation, photo translation, sign mode, transcripts, AI-generated meeting memos, and PDF export.
    • Pro+ — $29.99 per month or $299.99 per year. Includes everything in Pro plus translated phone calls with a monthly pool of twenty (20) minute-credits, weighted by destination zone (1.0×, 1.5×, or 2.0×).
  • Pricing is presented in your local currency at the time of purchase and may vary by region. Taxes (VAT, GST, sales tax) are added or shown inclusive as required by your jurisdiction.
  • Eligible new subscribers may receive a free trial period or a free first call promotional credit. Trials and promotional credits are granted once per Apple ID or Google account per subscription group. If you are upgrading or changing plans and have previously used a trial or promotional credit, you may not be eligible for a new one.
  • Your chosen subscription automatically renews at the end of each billing period unless cancelled at least 24 hours before the end of the current period. You will be charged the then-current price at renewal.
  • For in-app purchases, payment is charged to your Apple ID or Google Play account. Manage or cancel subscriptions in your device's subscription settings. For web purchases, payment is processed by Stripe; manage subscriptions from the app's settings menu.
  • Any unused portion of a free trial or promotional credit is forfeited if you purchase a subscription before the trial ends.
  • EU and UK consumer 14-day withdrawal: by purchasing a subscription, you expressly request immediate performance of the digital service and acknowledge that you lose your right of withdrawal once performance has begun, in accordance with Article 16(m) of Directive 2011/83/EU and regulation 37(1)(a) of the United Kingdom Consumer Contracts Regulations. This acknowledgment does not affect any non-waivable consumer rights.

9. Intellectual Property and AI Output

The Application, including its design, code, AI models we own, and branding, is owned by Lunana Global Inc. and protected by intellectual property laws. You retain ownership of your input content (speech, text, photos) and the translations generated from it. To the maximum extent permitted by law, we assign and license to you, on a royalty-free, non-exclusive basis, our rights (if any) in the AI outputs generated for you. Outputs may be similar across users. We do not use your input or output content to train AI models.

10. Prohibited Uses

Your use of the Application is governed by our Acceptable Use Policy. Without limiting that policy, you may not:

  • Reverse-engineer, decompile, or disassemble the Application;
  • Use the Application to build a competing translation product;
  • Circumvent usage limits or security measures;
  • Transmit harmful, illegal, or objectionable content;
  • Record or translate conversations without consent of all parties as required by applicable law;
  • Use automated bots or scripts to access the Application without our written permission;
  • Use the Application in violation of any export-control or sanctions law;
  • Use the Application to impersonate any person or to create deepfakes or voice clones; or
  • Use the Application for any of the prohibited purposes described in Section 7.

11. Third-Party Services

The Application relies on third-party services including a speech-recognition and synthesis provider, an LLM translation provider, Google Gemini (translation, summarization, OCR), Google Vision (fallback OCR), Twilio (PSTN call routing and SMS verification), LiveKit (WebRTC for live shared sessions), Supabase (authentication and data storage), Stripe (payment processing), RevenueCat (subscription management), Meta Platforms (Pixel and Facebook SDK for analytics), and Google Analytics / Firebase Analytics. These services have their own terms and privacy policies. We are not responsible for the availability or accuracy of third-party services. The current canonical subprocessor list is published at livelingo.io/subprocessors.

12. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF TRANSLATIONS. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT TRANSLATIONS, PHOTO TRANSLATIONS, OR SUMMARIES WILL BE ACCURATE, COMPLETE, UNBIASED, OR RELIABLE; OR THAT TRANSLATED PHONE CALLS WILL CONNECT, COMPLETE, OR REACH ANY PARTICULAR QUALITY LEVEL. WE DISCLAIM ALL WARRANTIES WITH RESPECT TO PHONE-CALL CONNECTION QUALITY, VOICEMAIL OR ANSWERING-MACHINE INTERACTIONS, NETWORK FAILURES, AND RECIPIENT-END ISSUES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUNANA GLOBAL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE, INCLUDING DAMAGES ARISING FROM TRANSLATION ERRORS, BIAS, OMISSIONS, OR FAILED OR MISTRANSLATED PHONE CALLS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100).

The limitations above do not apply to liability arising from our willful misconduct, gross negligence, death or personal injury caused by our negligence, or fraud.

Nothing in this EULA excludes or limits any mandatory rights you have under applicable consumer-protection laws in your jurisdiction, including without limitation the United Kingdom Consumer Rights Act 2015, EU consumer-protection directives, the Australian Consumer Law, or the Quebec Consumer Protection Act.

14. Apple App Store Terms

If you downloaded the Application from the Apple App Store:

  • This EULA is between you and Lunana Global Inc., not Apple Inc. Apple has no obligation to furnish any maintenance or support services with respect to the Application.
  • In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to the Application.
  • Lunana Global Inc., not Apple, is responsible for addressing any claims relating to the Application, including product liability claims, regulatory compliance, and intellectual property infringement claims.
  • You represent that you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government prohibited or restricted parties list.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance, Apple will have the right to enforce this EULA against you.

15. Google Play Store Terms

If you downloaded the Application from the Google Play Store:

  • This EULA is between you and Lunana Global Inc., not Google LLC. Google has no obligation to provide maintenance, support, or warranty services for the Application.
  • Lunana Global Inc. is solely responsible for the Application and any claims relating to it, including product liability, regulatory compliance, and intellectual property matters.
  • Google and its subsidiaries are third-party beneficiaries of this EULA.

16. Indemnification

You agree to indemnify, defend, and hold harmless Lunana Global Inc. from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Application; (b) your violation of this EULA, the Terms of Service, or the Acceptable Use Policy; (c) your violation of any third-party rights, including recording-consent laws, intellectual property rights, privacy rights, rights of publicity, or rights to voice or likeness; (d) any translated phone call placed by you, including without limitation any call placed without consent or for a prohibited purpose, and any violation of the Telephone Consumer Protection Act, the Do Not Call regulations, the federal Wiretap Act, state two-party-consent laws, OFAC sanctions, or analogous laws; (e) any photo, transcript, or other content you submit; or (f) your reliance on any translation or AI-generated output provided by the Application.

17. Termination

This EULA is effective until terminated. We may terminate your license at any time if you violate any provision of this EULA. Upon termination, you must cease all use of the Application and delete all copies. Sections 4, 5, 7, 9, 10, 12, 13, 16, 18, and 19 survive termination.

18. Governing Law

This EULA is governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Nothing in this Section limits any mandatory consumer-protection rights granted to you by the laws of your country of residence.

19. General Provisions

  • Severability: if any provision of this EULA is found unenforceable, the remaining provisions remain in full force and effect.
  • Entire Agreement: this EULA, together with the Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement regarding the Application.
  • No Waiver: failure to enforce any provision does not waive the right to enforce it later.
